2. Eligibility

To use the Service, you must:

• Be at least 18 years old.
• Have the legal capacity to enter a binding contract.
• Not be located in or acting on behalf of jurisdictions subject to U.S. sanctions, including (but not limited to) Cuba, Iran, North Korea, Syria, Russia, and the Crimea, Donetsk, or Luhansk regions of Ukraine.

We may restrict access where required by law.

3. Service Overview

Listed is a digital marketplace where creators can sell downloadable content such as:

• ebooks
• PDFs and documents
• audio files
• images and design assets
• templates
• video and media files

Users may purchase digital content using:

• Supported credit/debit card processors (e.g., Stripe)
• Third-party crypto payment services (e.g., Coinbase Commerce, if supported)
• User controlled on-chain blockchain transactions

Wallets used on the platform are non-custodial — users maintain control of their own private keys.

4. Payments & Transactions

4.1 Payment Processing

Payments may occur via:

• Traditional fiat card payments processed by third parties such as Stripe
• Crypto payment processors such as Coinbase Commerce
• Direct blockchain on-chain transactions initiated and approved by the user

We do not store or process card details, crypto wallets, or banking information.

4.2 Non-Custodial System

All transactions are user-directed. Listed LLC:

• Does not custody funds on behalf of users
• Does not hold private keys
• Does not send or receive user assets
• Does not move or transfer assets between wallets

Users are fully responsible for managing wallet access and on-chain transactions.

5. Digital Content Delivery

Purchased content is typically available for access or download immediately after payment is confirmed.

We are not responsible for:

• Blockchain failures
• Gas fees
• Failed on-chain confirmation
• Payment delays by third-party processors

6. Refunds

Because digital products are immediately accessible, all sales are final unless required by law.

Chargebacks, fraudulent transactions, or disputes may result in account suspension.

7. Content Rules

Users and creators agree not to upload, sell, share, or distribute:

• Illegal content
• Hate speech or harassment
• Violent or extremist material
• Explicit sexual content involving real individuals or minors
• Content violating intellectual property rights
• Malware or malicious code

Violations may result in removal or account termination.

8. Intellectual Property Rights

Creators retain ownership of their content. Buyers receive a personal, non-transferable license to access the purchased digital content.

Users may not:

• Reproduce
• Resell
• Redistribute
• Publicly share

unless explicitly permitted by the rights holder.

9. Wallets & Blockchain Use

Wallets connected to the platform are owned and controlled by the user.

Privy, or another third-party tool, may assist with wallet creation, but the user remains the owner.

We do not have access to seed phrases or private keys.

Loss of wallet access may permanently prevent access to purchased blockchain-linked content.

10. Restricted Regions

Users may not access or use the Service if doing so would violate U.S. export controls, sanctions laws, or payment processor restrictions.

11. Platform Changes

We may modify, suspend, or discontinue some or all of the Service at any time without liability.

12. Limitation of Liability

To the fullest extent permitted by law, Listed LLC is not liable for:

• Loss of digital assets
• Failed blockchain transactions
• Wallet security failures
• Lost passwords or access credentials
• Indirect or consequential damages

Use of the Service is at your own risk.

13. Account Termination

We may suspend or terminate accounts for:

• Violation of these Terms
• Fraud or abuse
• Legal or regulatory requirements
• Payment disputes or chargebacks

Termination does not entitle users to refunds.

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, excluding conflict-of-law rules. Disputes must be brought in Wyoming unless otherwise required by applicable law.

15. Updates to These Terms

We may update these Terms at any time. Continued use of the Service after changes become effective means you accept the updated Terms.
